1. SERVICES
The Provider agrees to deliver the following services to the Client:

2. TERM
This Agreement shall commence on the Effective Date and continue for a period of 12 months ("Term"), unless terminated earlier in accordance with Section 6.

3. FEES AND PAYMENT

• Payment Due: Invoices will be issued monthly and are payable within 14 days of receipt.
• Late Payment: A late fee of 5% may be applied to invoices overdue by more than 30 days.

• Notify the Client of any changes to service delivery at least 7 days in advance.

5. RESPONSIBILITIES OF THE CLIENT
• Provide accurate information and timely access necessary for service delivery.
• Make payments in accordance with Section 3.
• Give at least 48 hours notice to reschedule or cancel recurring appointments.

6. TERMINATION
• Either party may terminate this Agreement with 30 days written notice.
• The Provider may terminate immediately for non-payment or material breach by the Client.
• Upon termination, the Client is liable for all fees incurred up to the termination date.

7. LIMITATION OF LIABILITY
The Provider's total liability under this Agreement shall not exceed the total fees paid by the Client in the 12 months preceding the claim. Neither party shall be liable for indirect, incidental, or consequential damages.

8. CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of this Agreement.

9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

10. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
