CONSULTING SERVICES AGREEMENT

This Agreement is entered into as of [START DATE] between:

1. SERVICES

2. TERM
Commences [START DATE] and continues until terminated by either party with 30 days notice.

3. COMPENSATION
Fixed Fee: [FEE] for the full project scope. 50% due on commencement, 50% on completion.
Late payments accrue interest at 8% per annum above base rate.

4. EXPENSES
Pre-approved out-of-pocket expenses reimbursed within 14 days of submission.

5. INDEPENDENT CONTRACTOR
The Consultant is an independent contractor. All taxes and statutory obligations are the Consultant's responsibility.

6. CONFIDENTIALITY
Each party keeps the other's non-public information confidential for 3 years after termination.

7. INTELLECTUAL PROPERTY
Work product created specifically for the Client becomes Client's property upon full payment. Pre-existing tools and frameworks remain the Consultant's.

8. LIMITATION OF LIABILITY
Total liability shall not exceed fees paid in the 3 months prior to the claim.

9. GOVERNING LAW
Governed by the laws of England and Wales.
